Incodiv Terms & Conditions

These Terms and Conditions govern the use of services provided by Incodiv, a software development and solutions provider. By engaging in our services, you agree to be bound by these Terms and Conditions.
Services Provided
Incodiv offers a wide range of services, including but not limited to:
- Web app development
- Mobile app development
- Desktop app development
- Web design and development
- Business intelligence solutions
- Microsoft SharePoint, Dynamics 365, Power Platform solutions
- Web hosting
- Graphics designing
- Other custom software solutions
Service Agreement
Before the commencement of any project, both parties must agree to the following:
- A detailed scope of work (SOW) defining deliverables, timelines, and costs.
- A formal contract or proposal outlining the responsibilities of both parties.
- Any additional terms for ongoing services such as maintenance, hosting, or updates.
3. Payments & Fees
- Payments must be made according to the agreed terms specified in the contract or proposal.
- A non-refundable deposit may be required before the initiation of any work.
- Incodiv reserves the right to withhold final delivery or suspend services if payment is delayed or withheld beyond the agreed-upon payment schedule.
Confidentiality
- Both parties agree to keep confidential any proprietary information shared during the course of the project.
- Incodiv agrees not to disclose client data or use it for any purposes outside the scope of the project unless authorized by the client.
Client Responsibilities
- The client must provide all necessary materials, resources, and information required for Incodiv to execute the project efficiently.
- Any delays caused by the client's failure to deliver required information may affect the timeline and potentially result in additional charges.
Intellectual Property
- Incodiv retains ownership of all proprietary materials, frameworks, and tools used in the project, unless otherwise agreed.
- Upon full payment, the client will receive the rights to use any custom software or designs created by Incodiv for the project.
Third-Party Services
- If the project involves third-party software, tools, or APIs (e.g., Twilio for SMS), the client agrees to adhere to the terms and conditions of those providers.
- Incodiv is not responsible for any changes or interruptions in service provided by third-party platforms.
Termination
- Either party can terminate the contract with written notice if the other party breaches any material term of the agreement.
- In the event of termination, the client will be billed for all work completed up to the date of termination.
Third-Party Services
- If the project involves third-party software, tools, or APIs (e.g., Twilio for SMS), the client agrees to adhere to the terms and conditions of those providers.
- Incodiv is not responsible for any changes or interruptions in service provided by third-party platforms.
Liability
- Incodiv shall not be liable for any indirect, incidental, or consequential damages arising from the use of its services.
- Incodiv’s total liability for any claim, whether in contract, tort, or otherwise, will be limited to the amount paid for the specific project.
Support & Maintenance
- Any support or maintenance services must be agreed upon separately and will be subject to additional fees.
- Support for bugs or issues arising from factors outside Incodiv’s control (e.g., third-party services) may incur additional charges.
Amendments
Incodiv reserves the right to amend these Terms and Conditions at any time. Clients will be notified of any significant changes.
Force Majeure
Neither party shall be held responsible for delays or failures to perform their contractual obligations if such delays or failures result from events beyond their control (e.g., natural disasters, strikes, or major technical issues).
